Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of the Glass Bids website, platform, and related services (collectively, the “Services”) provided by Social Glass, Inc. (“Glass Bids,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of a government agency or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
The Services
Glass Bids is a solicitation and procurement management platform designed for public sector and government-adjacent organizations. Features may include solicitation creation, vendor engagement, evaluation workflows, approvals, scoring, audit logging, reporting, and AI-assisted review tools.
We may modify, suspend, or discontinue any part of the Services at any time. We will use reasonable efforts to provide notice of material changes that affect your use of paid features under an applicable order or agreement.
Accounts & Access
Access to certain features requires an account provisioned by your organization or by Glass Bids. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You agree to provide accurate information, keep account details current, and notify your administrator or us promptly of any unauthorized use.
Acceptable Use
You agree not to:
- Use the Services in violation of applicable law, regulation, or agency policy.
- Attempt to gain unauthorized access to systems, data, or accounts.
- Upload malware, interfere with platform operation, or reverse engineer the Services except as permitted by law.
- Use the Services to store or transmit unlawful, infringing, or harmful content.
- Misrepresent your identity, affiliation, or authority when using the Services.
Customer Data & Intellectual Property
Your organization retains ownership of solicitations, vendor submissions, documents, and other content submitted to the Services (“Customer Data”). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Services, comply with law, and as otherwise described in our Privacy Policy.
We retain all rights in the Services, including software, branding, documentation, and underlying technology. No rights are granted except as expressly stated in these Terms or a separate written agreement.
AI-Assisted Features
The Services may include AI-assisted summaries, recommendations, or compliance checks. AI outputs are provided for informational purposes only and do not constitute legal, procurement, or compliance advice.
Authorized users remain responsible for all procurement decisions, evaluations, approvals, and official records. AI features do not replace required human review, approval workflows, or agency governance requirements.
Fees & Subscriptions
Paid access to the Services is governed by the pricing, order form, or master agreement between your organization and Glass Bids. Unless otherwise agreed in writing, fees are non-refundable except as required by law or expressly stated in your agreement.
Free trials, demos, and marketing resources may be offered at our discretion and may be modified or discontinued at any time.
Confidentiality & Security
We implement safeguards designed to protect Customer Data, including access controls, encryption, and audit logging, as described on our website and in applicable security documentation. You are responsible for configuring roles, permissions, and workflows appropriate for your agency's requirements.
Each party agrees to protect the other's confidential information disclosed in connection with the Services and to use it only for permitted purposes.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or meet every regulatory or procurement requirement of your jurisdiction. Your organization is responsible for determining suitability for its use cases.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GLASS BIDS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOUR ORGANIZATION TO US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY APPLICABLE LAW.
Indemnification
You agree to indemnify and hold harmless Glass Bids from claims, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, violation of these Terms, or infringement of third-party rights, except to the extent caused by our gross negligence or willful misconduct.
Termination
We may suspend or terminate access to the Services if you breach these Terms or if required for security, legal, or operational reasons. Your organization may terminate use in accordance with its agreement with us.
Upon termination, your right to access the Services ends. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
Governing Law & Disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where federal law applies. Disputes will be resolved in the state or federal courts located in San Francisco County, California, and you consent to their exclusive jurisdiction, unless otherwise required by applicable law.
Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
